Class A shares will have one vote per share for all matters on which stockholders are entitled to vote, including the election and removal of directors. Class B shares will have four votes per share for the election and removal of directors and one vote per share for all other matters on which stockholders are entitled to vote.

What is the status of Agere's spin-off from Lucent?
In July 2000, Lucent Technologies announced its intention to spin off its integrated circuits and optoelectronics business as a separate company that is now Agere. We conducted our initial public offering in March 2001. On April 22, 2002, Lucent announced that it has met all of the financial conditions under its credit facility to complete the spin-off of Agere, and that the board of directors of Lucent approved a distribution of Agere shares to the Lucent common shareowners. The distribution is planned for June 1, 2002, to the holders of Lucent common stock as of the close of business on May 3, 2002, the record date for the distribution. The common shareowners on the record date will receive a pro rata distribution of all shares of Agere held by Lucent on the distribution date.

The record date is the close of business on May 3, 2002.

What are the distribution ratios?
We expect Lucent to announce the final distribution ratios Monday, May 13, 2002.

How many Agere shares will I get if I own Lucent stock?
On Monday, May 13, 2002, Lucent Technologies announced the following ratios have been established for the Agere spinoff:
bulletOne share of Agere Class A common stock will be issued for every 92.768991 shares of Lucent stock owned.
bulletOne share of Agere Class B common stock will be issued for every 3.779818 shares of Lucent common stock.

Both Class A and B common stock of Agere will be distributed to Lucent shareowners. Lucent indicated that fractional shares would be distributed in the form of cash.

When will Agere start trading as a separate company?
Agere Class A common stock has been trading on the NYSE under the symbol AGR.A since our IPO in March 2001. Starting June 3, Agere Class B common stock will trade on the NYSE under the symbol AGR.B
